Disclosure Concerning Producer Ownership
Certain insurance producers placing business with ProBuilders own
common stock of ProBuilders' manager, NationsBuilders Insurance
Services, Inc. (NBIS). NBIS receives management fees from
ProBuilders and owns a reinsurance company which reinsures a portion
of ProBuilders' insurance business. Accordingly, in addition to
their receipt of commissions on business placed with ProBuilders,
these producers may benefit from their relationship with ProBuilders
through their stock ownership of NBIS. No producer owns 10% or
more of NBIS's stock, and a producer's ownership of NBIS stock does
not afford the producer any preferential treatment in terms of
underwriting or risk selection.
